Introduction
Digital Farmers BV, acting under the name “Digital Farmers” (hereinafter “Digital Farmers”, “we” or “our”), is a Belgian legal entity, located at Boekenberglei 18/5, fifth floor, 2100 Deurne, Belgium, company number 0677.938.443. These general conditions apply to any agreement between Digital Farmers and the client.
1. Preparing the assignment
1.1. Digital Farmers will make an offer at the request of the client which is valid for 14 days. 1.2. Acceptance may be explicit or implicit via written or oral communication. 1.3. Changes to the assignment are valid only if agreed to by both parties in writing. 1.4. In case of cancellation, the client remains responsible for all payment obligations, including advances already paid, which are never refundable.
2. Execution of the assignment
2.1. The execution is done according to industry standards and recent technologies. Digital Farmers retains creative freedom within the scope of the assignment. 2.2. The client will receive a revision round of up to 10 days after delivery. Any additional comments will be invoiced at a rate of €75/hour. 2.3. The client must actively cooperate by providing timely feedback and necessary information. Delays due to client negligence may result in additional costs.
3. Hosting services and tacit renewal
3.1. Our hosting packages automatically renew unless the client gives written notice of cancellation at least 45 days before the expiration date. 3.2. Without timely notice of cancellation, renewal fees will be charged automatically. 3.3. After renewal, cancellation is not possible and refunds are excluded. The client remains responsible for correct user data in our database, accessible via my.digitalfarmers.be/login.
4. Domain names and management
4.1. Digital Farmers manages the registration and renewal of domain names, but the client remains responsible for timely notification of changes or cancellations. 4.2. All domain name fees will be billed in advance. In case of loss due to incorrect instructions or late cancellation by the client, there will be no refund.
5. Rates and Payments
5.1. All rates are exclusive of VAT. 5.2. Invoices must be paid within 14 days. In case of late payment, default interest of 10% per month and an administration fee of €40 will be charged. 5.3. In case of non-payment, Digital Farmers reserves the right to temporarily interrupt services or take the website offline until payment is received.
6. Intellectual property rights
6.1. Client shall acquire the intellectual property rights to the project upon full payment of all amounts due. 6.2. Digital Farmers retains ownership rights to all technologies, routines and underlying systems not developed specifically for the client.
7. Duration and termination of the agreement
7.1. Fixed-term contracts are subject to tacit renewal unless cancelled in writing 45 days prior to the expiration date. 7.2. For agreements of indefinite duration, a notice period of three (3) months shall apply. 7.3. Breach of contract by either party may result in immediate termination of the agreement.
8. Liability
8.1. Digital Farmers is only liable for direct damages resulting from severe or repeated errors. We are not liable for indirect damages, including consequential damages, lost profits or loss of data.
9. Confidentiality
9.1. Both parties agree to maintain confidentiality with respect to all information resulting from the agreement unless it is publicly available.
10. Choice of law and competent court
10.1. These general terms and conditions are governed by Belgian law.
10.2. In disputes, both parties first seek an amicable solution. If necessary, only the Court of Antwerp shall have jurisdiction.
11. Final Provisions
11.1. If any provision of these terms and conditions is found to be void or unenforceable, the remaining provisions shall remain in full force and effect.
